Soon you can buy a certificate in Blue Current Cooperation U.A.. A certificate could be seen as a share, but within a cooperative entity, it is called a certificate. The certificates give you, as an investor, economic rights within the cooperation. This means not only that you are co-owner and that you profit from the increase in value, but also that in the future, you get a share in the dividend payment when the cooperation pays out their dividends..

Before distributing dividends, the Cooperative Board must decide how much of the profit is to be reinvested in the company and how much is to be allocated as a dividend payment.

No voting rights are attached to the certificates. The certificates are digitized on the Eyevestor platform. This digitalization makes investing and trading easy without the intervention of a notary.

Investing involves risks. So only invest if you have the financial scope to be able to lose the money. Apart from the inherent risk accompanying investments, your investment carries no personal liability or (future) obligations.

Je kunt binnenkort een certificaat kopen in Blue Current Coöperatie U.A. (Uitgesloten Aansprakelijkheid). Een certificaat zou je kunnen zien als een aandeel, echter noem je dit binnen een coöperatie een certificaat. De certificaten geven jou als investeerder namelijk economisch recht binnen de coöperatie. Dit betekent niet alleen dat je mede-eigenaar bent en meeprofiteert van de waardestijging, maar ook in de toekomst meedeelt in de dividenduitkering op het moment dat de coöperatie dit uitkeert.

Voordat er dividend uitgekeerd wordt dient eerst het bestuur van de coöperatie te besluiten hoeveel procent van de winst opnieuw in het bedrijf geïnvesteerd wordt en welk gedeelte gealloceerd wordt als dividenduitkering.

Aan de certificaten is geen stemrecht verbonden. De certificaten zijn gedigitaliseerd op het platform van Eyevestor. Door deze digitalisering wordt investeren en verhandelen laagdrempelig zonder tussenkomst van een notaris.

Investeren brengt risico’s met zich mee. Investeer dus alleen als je de financiële ruimte hebt om het geld te kunnen verliezen. Naast je investering loop je geen risico en als investeerder komen er geen andere (toekomstige) verplichtingen om de hoek kijken.

How did Blue Current’s business valuation come about?

Hoe is de bedrijfswaardering van Blue Current tot stand gekomen?

Blue Current Cooperation U.A. is now valued at €31.1 million (the so called ‘pre-money’ value). With the money which Blue Current will raise in this investment round we reach the ‘post-money’ value. The minimum target is €1 million and the maximum €5 million.

In recent years Blue Current has helped many customers switch to electric transport. Together with the customers and certificate holders, we will develop an even bigger national reach and a stronger innovation strategy. Moreover, there is a great growth plan and Blue Current will focus on leasing companies in 2023, which offers many opportunities to scale up based on the first successes with other companies like Arval.

The price per certificate is calculated by dividing the final enterprise value by the number of outstanding certificates. In this case at a minimum €32.1 million divided by 3.210.000 certificates makes the price €10 per certificate. At this moment 3.110.000 certificates are in the possession of current certificate holders and at least 100.000 certificates will be offered during this sharefunding round. A deposit of €1.000, therefore, results in 100 certificates.

A share price of € 10 euros per share has been chosen, so that even in the event of a large increase in value, the shares remain easily tradable.

Blue Current Coöperatie U.A. (Uitgesloten Aansprakelijkheid) is nu op €31.1 miljoen gewaardeerd (de zogenaamde ‘pre-money’ waarde). Met het geld dat Blue Current in deze investeringsronde op zal halen komen we tot de ‘post-money’ waarde. De minimale doelstelling is €1 miljoen en maximaal €5 miljoen.

De afgelopen jaren heeft Blue Current veel klanten geholpen bij de overstap naar elektrisch vervoer. Samen met de klant en certificaathouders wordt er een nog groter landelijk bereik en betere innovatiestrategie ontwikkeld. Bovendien ligt er een fraai groeiplan en focust Blue Current in 2023 op leasemaatschappijen, dat veel mogelijkheden biedt om fors op te schalen op basis van de eerste successen met onder andere Arval.

De prijs per certificaat wordt berekend door de uiteindelijke bedrijfswaarde te delen door het aantal uitstaande certificaten. In dit geval ten miste 32.1 miljoen euro te delen door 3.210.000 certificaten maakt de prijs €10 per certificaat. Op dit moment zijn 3.110.000 certificaten in bezit van huidige certificaathouders en ten minste 100.000 certificaten worden aangeboden tijdens deze sharefunding ronde. Een inleg van 1.000,- euro levert dus 100 certificaten op.

Er is gekozen voor een aandelenprijs van €10 per aandeel, zodat ook bij een grote waardestijging, de aandelen goed verhandelbaar blijven.

How much are the certificates of Blue Current worth?

Hoeveel zijn de certificaten van Blue Current waard?

Buying certificates is possible from July 4th. Blue Current makes it possible to become a digital co-owner through the Eyevestor platform. Eyevestor is an online platform where organizations can place, digitize and trade their equity. Sharefundings’ definition is ‘the raising of growth capital through equity’. This gives a company more co-owners and stakeholders and avoids taking on debt, in addition to providing the opportunity for faster growth.

On your personal page on the Eyevestor platform, you can keep track of how many certificates (shares) you have in Blue Current in your dashboard (overview). For each transaction, you will also receive an email confirming your purchase and a transaction certificate as proof. In your account, you can find all your transactions and details per transaction. On Eyevestor the digital certificates in Blue Current Cooperation are called ‘eyecons’.

Certificaten kopen kan vanaf 4 juli aanstaande. Blue Current maakt het mogelijk om digitaal mede-eigenaar te worden via het Eyevestor platform. Eyevestor is een online platform waar organisaties hun eigen vermogen kunnen plaatsen, digitaliseren en verhandelen. Sharefunding is het ophalen van groeikapitaal via eigen vermogen. Het bedrijf krijgt hiermee meer bezit en gaat geen schulden aan, naast dat de financiële middelen mogelijkheid geven tot snellere groei.

Op jouw persoonlijke pagina op het Eyevestor platform kun je in je dashboard (overzicht) bijhouden hoeveel certificaten (aandelen) je hebt in Blue Current. Per transactie krijg je ook een e-mail ter bevestiging van je aankoop en een transactiecertificaat welke fungeert als bewijs. In je account kan je al jouw transacties en details per transactie terugvinden. Op Eyevestor worden de digitale certificaten in Blue Current Coöperatie U.A. (Uitgesloten Aansprakelijkheid) eyecons genoemd.

What happens once I have bought certificates?

Wat gebeurt er zodra ik certificaten heb gekocht?

If Blue Current is taken over by another company, there is a chance that the certificates you bought can increase in value significantly.

As an investor you will be included. This is laid down in the statutes of the cooperative.

Practically speaking, this means that Blue Current or the investor buys back the certificates from you for the price agreed with the investor. This is paid in cash. The difference in value which in the meantime has increased or decreased will determine the final return. This can be negative and positive, but of course Blue Current will strive for an increase in value.

Wanneer Blue Current overgenomen wordt door een ander bedrijf, bestaat de kans dat de door jou aangekochte certificaten flink in waarde toe kunnen nemen.

Jij wordt als investeerder hierin automatisch meegenomen. Dit is zo vastgelegd in de statuten van de coöperatie.

Praktisch gezien betekent dit dat Blue Current of de investeerder de certificaten van jou terugkoopt voor de prijs die is overeengekomen met de investeerder. Dit wordt in cash uitbetaald.

Het verschil in de waarde ten opzichte van de aankoopprijs, zal het uiteindelijke rendement bepalen. Dit kan zowel negatief als positief zijn, maar vanzelfsprekend gaat Blue Current voor een waardestijging.

What if Blue Current is taken over by another company?

Wat als Blue Current wordt overgenomen door een ander bedrijf?

You can sell your certificates after 12 months, in this case, that would be from the 3th of July 2023. Until then there is a so-called ‘time-lock’. After 12 months you can sell second-hand or privately on the Eyevestor marketplace. This means that you can offer your certificates for sale to others.

You determine the minimum price you want to receive. You do this anonymously. Buyers can then bid anonymously. If you receive a price that you are happy with, you can accept the buyer’s bid. With each bid you receive an e-mail that a bid had been made. Once you have accepted the bid, the buyer has 24 hours to complete payment. The payment is also made through Eyevestor and is paid directly (deducted with the Eyevestor transaction fee of 2.5%, up to a maximum of €1.250) to your bank account as recorded in your user profile on the platform.

Verkopen van je certificaten kan na 12 maanden, dus vanaf 3 juli 2023. Tot die tijd zit er een zogeheten 'time-lock’ op. Na 12 maanden kan je secundair of onderhands verkopen op de Eyevestor-marktplaats. Dat betekent dat je jouw certificaten tussentijds aan anderen te koop kunt aanbieden. 

Jij bepaalt de minimale prijs die je wilt ontvangen. Dat doe je anoniem. Kopers kunnen vervolgens anoniem bieden. Als jij een prijs ontvangt waar je blij mee bent dan accepteer je de kopers biedprijs. Bij elk bod ontvang je een e-mail dat er een bod gedaan is. Zodra jij dit bod geaccepteerd hebt, krijgt de koper 24 uur om de betaling af te ronden. De betaling loopt ook via Eyevestor en wordt direct doorbetaald (minus de Eyevestor transactiekosten van 2,5%, met een maximum van 1250 euro) naar jouw bankrekening zoals vastgelegd in je gebruikersprofiel op het platform.

Kan ik mijn certificaten ook weer verkopen?

By becoming a co-owner of a company, there are two ways to achieve a return. On the basis of dividend payment (profit) and the value of the certificate. The value of your certificate is the difference between the purchase price and the selling price of your certificates.

How high the return will be, can never be said with certainty. An increase in valuation of the company, is as good as certain. You are joining Blue Current in a relatively early stage, there is a strong basis, but the growth is really starting now. If the value of the company increases, it will directly affect the revenue and results and thus the value of the outstanding certificates.

Blue Current is now valued at a multiple of 7.1x revenue(2021) (multiple x turnover). When the turnover increases significantly, the value of your investment increases significantly as well. In other words, if you invest in Blue Current now, and the turnover doubles between now and a year, your investment doubles in this same year (if the multiple in the market remains the same).

The forecast is a tenfold increase in revenue within the next three years. That would mean that the value of your investment would also increase tenfold. However, this is a forecast and not a guarantee for the future. The return could be cashed in by a sale on the market place or when Blue Current is (partly) sold to a third party.

The amount of the dividend is determined each year after the adoption of the annual figures before June 1st. The board decides whether the profit will be distributed as dividends or will be reinvested. The expected dividend yield for the next three years is therefore very difficult to estimate, especially because Blue Current, together with you as co-owners, is still a fast growing company.

Door mede-eigenaar te worden van een bedrijf zijn er twee manieren om rendement te behalen. Op basis van de uitkering van dividend (winst) en de waarde van je certificaat. De waarde van je certificaat is het verschil tussen de aankoopprijs en de verkoopprijs van jouw certificaten.

Hoe hoog het rendement zal zijn, kan nooit met zekerheid gezegd worden. Dat er waarde toegevoegd gaat worden aan het bedrijf is zo goed als zeker. Je stapt in een relatief vroege fase van Blue Current in, er staat een sterke basis maar de groei begint nu echt. Als er waarde toegevoegd wordt aan het bedrijf zal dit direct van invloed zijn op de omzet en resultaten en daarmee op de waarde van de huidige certificaten.

Blue Current is nu op een multiple van 7,1x de omzet (2021) gewaardeerd (multiple x omzet). Wanneer de omzet aanzienlijk toeneemt, neemt de waarde van jouw investering ook aanzienlijk toe. Met andere woorden, investeer je nu in Blue Current, en de omzet verdubbelt tussen nu en een jaar, dan verdubbelt jouw investering ook in datzelfde jaar (als de multiple in de markt gelijk blijft).

De prognose is een vertienvoudiging van de omzet binnen de komende 3 jaar. Dan zal de waarde van jouw investering ook vertienvoudigden. Dit is echter een prognose en geen garantie voor de toekomst. Het rendement zou verzilverd kunnen worden door een verkoop op de marktplaats of wanneer Blue Current (gedeeltelijk) verkocht wordt aan een derde.

De hoogte van het dividend wordt elk jaar na vaststelling van de jaarcijfers voor 1 juni bepaald. Het bestuur besluit of de winst wordt uitgekeerd als dividend of dat deze wordt geherinvesteerd. Het verwachte dividendrendement voor de komende drie jaar is daarmee dus erg lastig in te schatten, zeker omdat Blue Current samen met jullie als mede-eigenaren nog lang niet uitgegroeid is.

No. The Eyevestor platform charges 2,5% with a minimum of €1 per transaction. The seller, in this case Blue Current, pays these transaction costs. So, when buying certificates with a value of €1.000 Blue Current pays €25 in fees.

When you decide to sell your certificates, you as the selling party pay the transaction costs. So, you pay 2,5% with €1 minimum and a maximum of €1.250 per transaction over your sale. The buyer again pays nothing.

Eyevestor does not charge any other fees to users and account holders.

Nee. Het platform Eyevestor rekent 2,5% met een minimum van €1 per transactie. De verkoper, in dit geval Blue Current, betaalt deze transactiekosten. Bij het kopen van certificaten ter waarde van €1.000 betaalt Blue Current dus €25 transactiekosten.

Als je besluit om je certificaten te gaan verkopen, betaal jij als verkopende partij de transactiekosten. Dan betaal jij dus 2,5% met €1 minimum en een met een maximum van €1250 per transactie over je verkoop. De koper betaalt wederom niets.

Verder rekent Eyevestor geen kosten aan gebruikers en accountholders.

Do I have to pay any costs as a buyer to buy a certificate?

Moet ik als koper kosten betalen om een certificaat te kopen?

No. Eyevestor does not charge a custody fee or any other fees or liabilities.

As for liability; there is none for you. When you invest, you buy one or more certificates of Blue Current Cooperation U.A.. The U.A. part states that you are literally excluded from liability, which is covered by Dutch Law. Certificate holders who invest now can never be held liable for anything, at any time.

When we – Blue Current -, as the board of the cooperative, make a mess and drop the ball, we can, for example, be held liable in case of bankruptcy by the trustee/creditors. But rest assured; Blue Current has good, solid advisors who guide and monitor us.

Nee. Eyevestor vraagt geen bewaarkosten of andere kosten of verplichtingen.

Wat betreft aansprakelijkheid; die is er niet voor jou. Als je investeert, koop je één of meer certificaten van Blue Current Coöperatie U.A. En met name de U.A. (Uitgesloten van Aansprakelijkheid) bepaalt dat je letterlijk uitgesloten bent van aansprakelijkheid. Certificaathouders die nu investeren kunnen nooit aansprakelijk worden gesteld voor wat dan ook, wanneer dan ook.

The value of the certificates falls in Box 3 (capital). In Box 3, a so-called tax-free wealth of at least €50.650 in 2022 (and €101.300 if you have a tax partner) applies.

Taxation depends on your situation. In general, the proceeds of your investments are taxable within the corporate income tax. Both dividends receives and capital gains realized constitute taxable income for the B.V. and are subject to corporate income tax. In 2022, this corporate income tax is 15% up to a profit of €395.000, above that amount it is 25.8% (Netherlands)

When dividends are distributed, withholding tax is deducted, which can be settled as an advance on the corporation tax owed.

If you invest in Blue Current, we will ensure that a half-yearly report is sent to all investors. In this report we will inform you about our activities and we will give you a clear financial overview of our results. We do this to give you some more transparency, and to keep you involved. That is important to us!

In principle, all certificates you receive do not have voting rights. This means that you are not allowed to have a say in the direction, strategy and plans of Blue Current. Because we think it is important to keep you informed about the progress and plans, we want to offer full transparency towards you. Of course we do value your input.

When you invest more than 2% (€600.000,-) of the total share capital, other conditions apply. From 2% onwards, you become a Lead Investor, and you get voting rights, subject to the agreements set.

Als je investeert in Blue Current, zullen wij ervoor zorgen dat er een halfjaarlijks rapport wordt verstuurd naar alle investeerders. Hierin zal ons reilen en zeilen kenbaar worden gemaakt met daarbij een helder financieel overzicht met betrekking tot onze resultaten. Omdat wij het wel belangrijk vinden om jou up-to-date te houden over de voortgang en onze plannen, willen wij volledige transparantie bieden richting jou. Vanzelfsprekend zijn we wel benieuwd naar je input.

Wanneer je meer dan 2% (€600.000,-) van het totale aandelenkapitaal investeert, gelden er andere afspraken. Vanaf 2% word je een Lead Investor, en krijg je stemrecht, onder voorbehoud van de gestelde afspraken.
